Achmea B.V., the shareholder of Union, and Dôvera, a member of the Penta investment group, have signed a share purchase agreement under which Union Health Insurance Company will become part of Dôvera. The transaction aims to create a stronger foundation for the further development of health insurance in Slovakia. The acquisition will be financed entirely by Dôvera's shareholder and will not affect funds designated for the reimbursement of healthcare services.

Union Health Insurance Company has been operating on the Slovak market since 2006 and has established itself as a trusted and well-developed health insurer. The planned combination with Dôvera represents a logical next step in supporting its future growth, development and long-term sustainability. Union Insurance Company will remain active on the Slovak market, focusing on commercial insurance. The share purchase agreement was signed on 14 July 2026 and will become effective once all required regulatory approvals have been obtained and all customary closing conditions have been fulfilled.

Following receipt of all necessary approvals, Union Health Insurance Company is expected to merge with Dôvera, creating a single, stronger health insurer operating under the Dôvera brand. In the coming days, the final application for approval of the transaction will be submitted to the Healthcare Surveillance Authority. At the same time, Dôvera and Union Insurance Company intend to establish a strategic partnership that will enable clients to benefit from the insurance solutions of both companies across health and commercial insurance.

Michal Špaňár, CEO of Union Health Insurance Company and Union Insurance Company, said:

“At this stage, nothing changes for Union Health Insurance insurees. They can continue using their existing services, benefits and network of contracted healthcare providers just as before. Looking ahead, the planned combination with Dôvera is expected to provide them with broader opportunities, a wider range of services and further improvements in healthcare. At the same time, this transaction allows Union Insurance Company to place an even stronger focus on commercial insurance, where we see significant potential to deliver long-term value to our clients. I am also pleased that we are establishing a strategic partnership with Dôvera in this area, enabling clients to benefit from the insurance solutions of both companies.”

Martin Kultan, CEO of Dôvera Health Insurance Company, added:

“We are proud that our partners at Achmea have placed their trust in us by signing this agreement and entrusting us with the care of their insurees. This is good news for both Union and Dôvera insurees, as they will benefit from more than either insurer has been able to offer individually. We intend to combine the very best services and benefits from both companies and make them available to everyone. We are confident that this step will further improve both the quality and accessibility of healthcare for all our insurees.”

Robert Otto, Member of the Executive Board of Achmea B.V., said:

“Dôvera is a strong local health insurer that is well positioned to take this next strategic step. Over the past years, both Union and Dôvera have made significant contributions to Slovakia’s healthcare system. By combining their expertise and scale, they are well equipped to further develop health insurance services and continue improving their quality. Achmea will remain active in the Slovak market through Union Insurance Company, focusing on life and non-life insurance. Our clients can continue to rely on the high-quality products and services they know and trust.”

The cooperation between the two private health insurers will also bring benefits to healthcare providers. The latest information will be available on the websites of both Union and Dôvera, where updates will be published regularly as the transaction progresses. At this stage, insurees are not required to take any action.
