Successful tender offer for EMC’s shares

After completion of the tender offer for EMC's shares – Penta Investments controls 5,696,510 shares of the company, representing 68.41% of EMC's share capital, corresponding to 73.23% of the total number of votes at the General Meeting of the company.

According to data provided by DI Investors SA and brokerage house of Alior Bank SA - in the public tender offer for EMC's shares, announced on 28 May 2013 by the subsidiaries of Penta Investments (CareUp BV and Soporto Invest BV) - subscriptions have been made for 4,480,731 EMC's shares (53.81% of the share capital), corresponding to 52.74% of the total number of votes at the General Meeting of the company.

Before the announcement of the tender offer for EMC - Penta (through its subsidiary Soporto Innvest BV) gained control over the package of 14.60% of EMC's shares, corresponding to 20.49% of the total number of votes at the General Meeting of the company.

The total number of EMC's shares held by the above entities controlled by Penta is 5,696,510 shares, representing 68.41% of the total number of EMC's shares, entitling to 7,196,548 votes at the General Meeting of Shareholders, which represents 73.23% of the total number of votes in the company.

The price in the tender offer was finally fixed at PLN 19.50 per share and included premiums of 15.59% and 18.69% to the average share price for three and six months respectively, as well as a premium of 16.70% over closing share price on May 27th (the date preceding the tender offer's announcement).

In accordance with our request to the company's board from last week - we are waiting for the Extraordinary General Meeting in August, during which we intend to vote for EMC delisting" - said Adam Jarmicki, Investment Manager at Penta Investments, responsible for EMC project.
