Penta is entering Polish hospitals

Penta Investments (Penta), an investment group operating in the private equity and real estate sector in the CEE countries has announced a tender offer for the purchase of all shares in EMC Instytut Medyczny S.A. (EMC). Penta currently holds, through its subsidiaries 14,60% of the shares, representing 20,49% of the total of votes in EMC.

EMC is the largest Polish owner of hospitals and out-patient clinics on the market of private medical services. Since 2005, the Company has been listed on the Warsaw Stock Exchange.

In 2012 Penta entered the hospital segment through acquisition of Svet zdravia, which operates 10 regional hospitals in Slovakia.

"We are experiencing a crucial period in the development of EMC. The Company has attained a strong position on the market for medical services in Poland. However, its further development requires substantial investments without which the Company has no chance of fighting for the leadership position on the consolidating market of medical services. Penta is one of significant players in the healthcare sector in the CEE. Investments in the medical sector constitute more than 30% of the assets in our portfolio. We have invested more than EUR 400 million and we are responsible for more than 10 thousand jobs in this sector in the Czech Republic, Slovakia and Poland. Our intention is to finance a long-term strategy providing for organic growth and active participation in the consolidation of hospital services. We assume that our involvement in EMC is a long-term investment exceeding seven years," said Eduard Matak, Partner at Penta Investments, managing investments in the healthcare sector.

The price set out in the tender offer is PLN 18,80 per share.

The proposed price in the tender offer includes premiums of 11,44% and 14,42% the average share price for three and six months, respectively and a 12,51% premium over the current share price as at 27 May 2013.

The tender offer is open for acceptance from 19 June to 18 July 2013 and is administered by Dom Inwestycyjny Investors S.A. and at the offices of Biuro Maklerskie Alior Bank S.A.

The tender offer is conditional upon the consent of the Office of Competition and Consumer Protection with Penta gaining control over EMC.
